These Terms of Use (the "Terms") govern your access to and use of Planning Portal (the "Service"), a platform that lets couples create wedding websites, collect RSVPs, and manage gift registries, along with related event-planning tools such as vendors, budgets, guest lists, and timelines.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is currently offered free of charge. If we introduce paid plans in the future, additional terms covering pricing, billing, and refunds will apply and will be presented to you before you subscribe.


8. Third-party services

The Service relies on third-party providers to operate, including hosting and content delivery, authentication and database storage, transactional email delivery, and usage analytics. Our use of these providers, and the data shared with them, is described in our Privacy Policy. We are not responsible for the independent acts or omissions of third-party providers, except as required by applicable law.

The Service may also link to third-party websites or services (such as gift registries hosted elsewhere). We do not control and are not responsible for the content or practices of those third parties.


9. Intellectual property

The Service itself — including its design, features, software, and branding (excluding User Content) — is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights in the Service. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any content will be preserved without loss. We are not responsible for decisions guests or account holders make in reliance on information presented through the Service, such as RSVP counts, registry availability, or vendor details entered by account holders.


11. Limitation of liability

To the fullest extent permitted by law, we and our officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us, if any, in the twelve months before the claim arose, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.


12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms or applicable law, including claims brought by your wedding guests relating to your handling of their data.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us, or for any other reason at our discretion.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 11, 12, and 15) will survive.


14. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time. We will try to provide reasonable notice of material changes that affect your use of the Service, but are not required to do so.


15. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in the United States, and you consent to the personal jurisdiction of those courts.


16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
